VibeAds Terms of Service

1. Acceptance of Terms

By accessing or using VibeAds ("the Service"), operated by CAI Fount LLC, available at getvibeads.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. We reserve the right to update these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

VibeAds is an AI-powered Google Ads management platform that enables users to create, manage, and optimize Google Ads campaigns. The Service includes:

  • AI-generated ad creatives (text and images), campaign strategies, and keyword research
  • Multi-step funnel landing pages with A/B testing, hosted on VibeAds infrastructure (*.localad.app or custom domains)
  • AI Call Tracking with call recording, transcription, AI lead qualification scoring, and offline conversion upload to Google Ads
  • AI Demographic Research using U.S. Census data to identify high-value geographic targeting areas
  • CRM and lead management with automated email confirmations and drip follow-up sequences
  • Autonomous AI agent optimization that monitors and adjusts your campaigns continuously
  • Integration with the Google Ads API for campaign publishing, management, and performance tracking

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. You must be at least 18 years old to create an account.

4. Google Ads Account Access

4.1 Authorization

By connecting your Google Ads account to VibeAds, you authorize us to access and manage your Google Ads data on your behalf, including creating campaigns, uploading assets, modifying bids, reading performance data, and uploading offline conversion data (such as qualified call outcomes). This access is granted through Google's OAuth 2.0 authentication protocol.

4.2 Revocation

You may revoke VibeAds' access to your Google Ads account at any time through your Google Account security settings or through the VibeAds app settings. Revoking access will prevent VibeAds from making further changes to your Google Ads account but will not undo changes already made.

4.3 Compliance

You are responsible for ensuring that your Google Ads campaigns comply with Google Ads policies and all applicable laws and regulations. VibeAds does not guarantee that AI-generated content will comply with all advertising regulations in your jurisdiction.

4.4 Responsibility

You are solely responsible for your Google Ads account, including all ad spend, billing, and campaign performance. VibeAds is not responsible for any charges incurred through your Google Ads account, including charges resulting from campaigns created or modified through the Service.

5. AI-Generated Content

5.1 Generation

The Service uses artificial intelligence to generate ad copy, headlines, descriptions, images, landing pages, multi-step funnels, campaign strategies, keyword recommendations, email templates, and call analysis reports. AI-generated content is created using third-party AI models and services (Google Gemini).

5.2 Review

You are responsible for reviewing all AI-generated content before publishing. VibeAds provides tools for reviewing and editing AI-generated content, and you should verify that all content is accurate, appropriate, and compliant with applicable advertising regulations before publishing to Google Ads.

5.3 Compliance

AI-generated content may not always comply with Google Ads policies or local advertising regulations. You are responsible for ensuring compliance before publishing. VibeAds is not liable for content that violates advertising policies or regulations.

5.4 No Guarantees

We do not guarantee the accuracy, quality, or effectiveness of AI-generated content, including AI call analysis scores and lead qualification assessments. AI outputs may contain errors, and campaign performance depends on many factors outside our control, including market conditions, competition, and Google Ads auction dynamics.

6. Call Tracking and Recording

6.1 Call Recording Consent

When you enable AI Call Tracking, calls to your tracking numbers are recorded after an automated consent announcement. By enabling this feature, you acknowledge and agree that:

  • All inbound calls will be recorded after a consent announcement is played to callers
  • Recordings will be transcribed and analyzed by AI to generate lead qualification scores and call summaries
  • You are responsible for compliance with all applicable federal, state, and local call recording laws, including the Telephone Consumer Protection Act (TCPA) and state two-party consent wiretapping statutes

6.2 AI Analysis Disclaimer

AI-generated call analysis (lead scores, spam detection, intent classification) is provided as an automated assessment and should not be relied upon as the sole basis for business decisions. Lead scores are estimates and may not accurately reflect the true quality or intent of a caller. You should review call recordings and transcripts when making critical business decisions.

6.3 Offline Conversions

When a qualified call (lead score of 50 or above) is attributed to a Google Ad click via GCLID, the conversion data may be automatically uploaded to your Google Ads account to improve Smart Bidding performance. You authorize this upload by enabling AI Call Tracking for your campaigns.

6.4 Third-Party Telephony

Call tracking services are provided through Twilio, a third-party telephony provider. Twilio's terms of service and acceptable use policies apply to all calls made through tracking numbers provisioned by the Service. Speech-to-text transcription is provided by Deepgram, a third-party service. Your use of call tracking constitutes acceptance of these third-party providers' terms.

7. Landing Pages, Funnels, and Email Automation

7.1 Hosted Content

VibeAds hosts landing pages and multi-step funnels on your behalf at subdomains of localad.app or your custom domain. You are responsible for the accuracy of business information displayed on these pages. VibeAds may inject tracking scripts (Google Tag Manager, conversion pixels, Dynamic Number Insertion) into hosted pages to provide analytics, call tracking, and conversion tracking functionality.

7.2 Lead Data

Information submitted by visitors through your landing page forms (including name, email, phone number, and form responses) is collected and stored in your VibeAds CRM. You are the data controller for this lead data and are responsible for handling it in compliance with applicable privacy laws.

7.3 Email Automation

When enabled, the Service sends automated emails to your leads on your behalf, including instant confirmation emails and scheduled follow-up emails at 24-hour and 72-hour intervals. You are responsible for ensuring that the content of these emails is accurate and complies with applicable anti-spam laws (CAN-SPAM Act, etc.). All automated emails include an unsubscribe link, and leads who unsubscribe will not receive further automated emails.

7.4 Custom Domains

If you connect a custom domain for your landing pages, you are responsible for DNS configuration and domain ownership. VibeAds auto-provisions SSL certificates for connected custom domains. VibeAds is not responsible for domain registration, renewal, or DNS issues outside the Service.

8. AI Agent Optimization

The Service includes an autonomous AI agent that periodically analyzes your campaign performance and may recommend or automatically execute optimizations, including:

  • Adjusting keyword bids and budgets
  • Adding or pausing keywords based on search term performance
  • Declaring A/B test winners on funnel landing pages
  • Recommending ad copy refreshes or targeting changes

On Pro tier, all recommendations require your explicit approval before execution. On Max tier, low-risk optimizations may be auto-executed. You can disable auto-execution at any time through your account settings. VibeAds is not responsible for campaign performance changes resulting from approved or auto-executed optimizations.

9. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or Google Ads policies
  • Create advertisements for prohibited products or services (including but not limited to counterfeit goods, dangerous products, or illegal substances)
  • Engage in deceptive or misleading advertising practices
  • Use call tracking to record calls without proper consent or in violation of wiretapping laws
  • Send unsolicited bulk emails or use the email automation feature for spamming
  • Attempt to circumvent or interfere with the Service's security features
  • Use the Service to harm, abuse, or harass others
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Exceed your subscription tier's credit limits through automated means

10. Payment Terms

VibeAds offers subscription plans (Free, Pro, and Max) with varying features and credit limits. Paid subscriptions are billed monthly or annually through Stripe. You authorize us to charge your payment method on a recurring basis until you cancel your subscription.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial billing periods. We reserve the right to change pricing with 30 days' notice.

Credits included in your subscription plan roll over for one billing period on Pro and Max plans. Unused credits expire after the rollover period. Additional credit top-up packs are available for purchase on Pro and Max plans.

Call tracking costs (telephony, transcription, AI analysis) are included in your subscription tier's allocation. Pro tier includes 1 tracking number and 100 minutes per month. Max tier includes 3 tracking numbers with unlimited minutes. Additional tracking numbers may be added at $2/month each.

11. Intellectual Property

11.1 Our IP

The Service, including its design, code, features, documentation, funnel templates, and branding, is owned by VibeAds and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our written permission.

11.2 Your Content

You retain ownership of all content you upload to the Service, including product images, business information, and email templates. By uploading content, you grant VibeAds a non-exclusive, worldwide license to use, process, and display your content solely for the purpose of providing the Service.

11.3 AI Output

AI-generated content (ad copy, images, landing pages, funnels, strategies, email templates, call analysis reports) created through the Service is licensed to you for use in your advertising campaigns and business operations. You may use AI-generated content for commercial purposes in connection with your Google Ads campaigns. VibeAds does not claim ownership of AI-generated output created for your account.

12. Third-Party Services

The Service integrates with third-party services to provide its functionality. By using the Service, you acknowledge that data may be processed by:

  • Google: Google Ads API, Google Tag Manager, Google Analytics 4, Google Gemini AI
  • Twilio: Call tracking, call routing, call recording, and telephony services
  • Deepgram: Speech-to-text transcription of call recordings
  • Stripe: Payment processing and subscription management
  • Resend: Automated email delivery (lead confirmations and drip follow-ups)
  • Cloudflare: Landing page hosting, CDN, and edge computing
  • Supabase: Database, authentication, and cloud storage

Each third-party service operates under its own terms of service and privacy policy. VibeAds is not responsible for the practices or availability of third-party services.

13. Limitation of Liability

To the maximum extent permitted by law, VibeAds and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Without limiting the foregoing, VibeAds is not liable for:

  • Inaccurate AI call analysis scores or lead qualification assessments
  • Missed or failed call recordings due to telephony service issues
  • Campaign performance changes resulting from AI agent optimizations
  • Errors in demographic targeting recommendations
  • Email delivery failures or spam classification by recipient email providers

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to VibeAds in the 12 months preceding the claim. This limitation applies regardless of the legal theory on which the claim is based.

14. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant that AI-generated content will be accurate, effective, or compliant with any particular advertising standard. We do not guarantee any specific campaign performance results, call tracking accuracy, lead qualification accuracy, or demographic targeting effectiveness.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting us or through the account settings in the app.

Upon termination: your right to use the Service ceases immediately; your tracking numbers will be released; your hosted landing pages and funnels will be taken offline; and your data (including call recordings, transcripts, and lead data) will be deleted in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination will survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in San Francisco County, California.
